The Terms and our Privacy Policy establish a legally binding agreement between you and Junction. It is important to carefully review the Terms and the Privacy Policy before utilising our Services. They govern your use the Services.
Regardless of the location from which your access to the Services is made, you are solely responsible for the consequences and for compliance with all Applicable Laws. If you do not agree to all of the Terms and Privacy Policy, you are not authorised to access or use the Services and you must immediately cease using the Services.

- Our Services operate on Blockchain networks, and we do not have control over the operations or protocols of any Blockchain. Any rewards, transactions, or activities carried out on the Blockchain are subject to its rules, protocols, and consensus mechanisms. We are not responsible for any disruptions, delays, or failures in the operation of the Blockchain network that may affect your use of our Services.
- Cryptocurrencies and Blockchain-based assets are highly volatile. The value and liquidity of these assets can fluctuate significantly and rapidly, leading to potential financial losses. You should be aware that the prices of cryptocurrencies can be unpredictable and may be subject to extreme price movements.
- It is crucial to assess and understand the risks associated with engaging in cryptocurrency-related activities. These include market volatility, regulatory uncertainty, cybersecurity threats, potential financial loss, and the risk of fraud or scams.

1. Definitions and Interpretation
1.1 Definitions
In these Terms, the words and expressions set out below have the following meanings unless otherwise indicated:
Affiliate
Refers to an entity, regardless of its form or nature, that is directly or indirectly controlled by Junction, controls Junction, or is under common control with Junction. Control may result from the ownership of more than 50% of the shares, voting rights, significant financial participation, or any other mechanism that enables substantial influence over the entity's activities and decisions.
Applicable Law
Means any and all applicable laws, statutes, regulations, ordinances, rules, codes, orders, and other legal requirements of any governmental authority having jurisdiction over Junction, its Affiliates, or its Users.
Application
Refers to the mobile and online application owned and operated by Junction, accessible through online application stores, its domain or subdomains, including all content, features, and services provided therein.
Blockchain
Means a distributed ledger technology ("DLT") comparable to a public accounting ledger, anonymous and unforgeable. The technology for storing and transmitting information is secure, transparent, and operates without a central control body, designed so that each block of transactions contains the hash produced from the previous block.
By extension, a Blockchain refers to a secure, distributed database shared by its various users, containing a set of transactions whose validity can be verified by anyone.
Force Majeure Event
Means any event that is beyond the reasonable control of Junction and cannot be prevented with reasonable care of Junction, including but not limited to acts of God; earthquakes; fires; floods; wars; civil or military disturbances; acts of terrorism; sabotage; strikes; epidemics; riots; power failures; computer failure and any such circumstances beyond its reasonable control that may cause interruption, loss or malfunction of utility, transportation, computer (hardware or software) or telephone communication service; accidents; labour disputes; acts of civil or military authority; governmental actions; or inability to obtain labour, material, equipment or transportation.
Junction
Refers to Junction Pte (BVI) Ltd (Company Registration No. 2147950), a company registered in the British Virgin Islands and whose registered address is c/o Quijano & Associates (BVI) Limited, Quijano Chambers, P.O. Box 3159, Road Town, Tortola, British Virgin Islands and/or the platform operated and managed by it for the provision of the Services, as the context may require.
Network Addendum
Refers to a supplementary agreement or document that outlines additional terms, conditions, or obligations related to the operation, participation, or management of a Supported Blockchain to address specific details regarding network-related responsibilities, configurations, compliance requirements, or operational protocols.
Non-Custodial Wallet
Means a type of cryptocurrency Wallet that gives users full control and ownership of their digital assets, without relying on a third-party service to store or manage the funds. Users are responsible for safeguarding their private keys and Wallet access.
Party or "Parties"
Means any person or entity that accesses or uses the Services.
Privacy Policy
Refers to Junction's policy on the collection, use, and disclosure of personal information.
Supported Blockchain
Refers to a Blockchain network that Junction actively engages with by hosting and supporting one or more nodes for network consensus operations and/or transaction validation. Junction maintains a list of the Supported Blockchains on its Website, which may be subject to updates or additions over time. Certain Supported Blockchains may have specific terms & conditions outlined in a Network Addendum, which may apply to the Services obtained on those particular Blockchains.
Exchange fees
Refers to any individual or entity who accesses or utilises the Services provided by Junction.
User
Refers to a blockchain network that Junction actively engages with by hosting and supporting one or more nodes for network consensus operations and/or transaction validation. Junction maintains a list of the Supported Blockchains on its Website, which may be subject to updates or additions over time. Certain Supported Blockchains may have specific terms & conditions outlined in a Network Addendum, which may apply to the Services obtained on those particular blockchains.
Wallet
Means a software or hardware device that allows a user to store, send, and receive digital assets. A Wallet is necessary to interact with a Blockchain network as it allows the user to store their private keys, which are necessary to sign transactions.
Website
Refers to the web interface owned and operated by Junction, accessible through its domain or subdomains, including all webpages, content, features, and services provided therein.
1.2 Interpretation
The definitions set forth in these Terms apply throughout the document, unless expressly stated otherwise. Terms defined in the singular may include the plural, and vice versa. Similarly, terms of the masculine gender may include the feminine and neuter genders, and vice versa, as the context may require. Terms starting with capital letters have the meaning ascribed to them in these Terms, whether used in the singular or plural, unless otherwise provided.
Any reference to a law, regulation, ordinance, or any other legislation includes amendments, modifications, and replacements to that legislation, as well as all Applicable Laws, rules, and regulations adopted under such legislation.
The terms "including," "including but not limited to," "includes," "inclusive of," or any similar wording indicate that the list provided is not exhaustive and that other items may be included.
Section titles in these Terms are provided solely for convenience and shall not be taken into account in the interpretation of the provisions. In the event of a conflict or inconsistency between the definitions set forth in these Terms and any other document referencing such terms, the definitions in these Terms shall prevail, unless expressly stated otherwise.
2. Our Products
Exchange and Multichain DeFi Services
2.1 Decentralized Trading Platform
Junction provides an aggregated decentralized exchange (DEX) platform that allows Users to trade digital assets directly from their Non-Custodial Wallets. Our platform facilitates peer-to-peer trading without the need for intermediaries, ensuring that Users retain full control over their private keys and funds at all times. Junction does not hold, manage, or custody User funds. All transactions are executed directly on the Blockchain through smart contracts, and Users are solely responsible for managing their Wallets and private keys.
2.2 Multichain Support and Interoperability
Junction supports multiple Blockchain networks, enabling Users to trade and interact with a wide range of digital assets across different Blockchains. Our platform is designed to provide seamless interoperability between supported Blockchains, allowing Users to access decentralized finance (DeFi) services, such as staking, yield farming, and liquidity provision, across various networks. Junction actively engages with Supported Blockchains by hosting and maintaining nodes to ensure efficient and secure transaction validation. Moreover, Junction provides cross-chain bridging services, allowing Users to transfer digital assets between different Blockchain networks. Bridging enables Users to move assets from one Supported Blockchain to another, facilitating interoperability and access to a wider range of DeFi opportunities.
2.3 Non-Custodial Wallet Integration
Users can connect their Non-Custodial Wallets to the Junction platform to access our Services. Junction does not collect, store, or have access to Users' private keys, seed phrases, or Wallet data. By connecting their Wallets, Users can view their token balances, manage their assets, and participate in trading, staking, and other DeFi activities directly through the Junction interface. Users retain full custody and control over their digital assets at all times.
Additionally, Junction may provide alternative authentication methods via social login, which is facilitated through external providers. Junction does not own or manage this social login system, and Users should refer to the terms and privacy policy of the respective external provider regarding the handling of authentication data.
2.4 Fees and Rewards
Junction may charge fees for the use of certain Services, such as trading, staking, or liquidity provision. These fees are subject to change at our discretion, and we will provide prior notice to Users regarding any modifications. Please note that all fees are non-refundable, regardless of whether you choose to terminate this Agreement or if we terminate your access to the Services.
When participating in staking or liquidity provision, Users may be eligible to receive rewards based on the specific rules and mechanisms of the Supported Blockchain. Junction does not control the issuance or calculation of these rewards, as they are determined by the underlying Blockchain protocols. Any references to past or projected rewards on our Website or Application are provided for informational purposes only and are not binding.
Users are solely responsible for any tax obligations associated with the receipt of rewards or income generated through the use of Junction's Services. Junction does not provide tax advice, and we recommend consulting with a tax professional to understand your specific tax liabilities.
2.5 Risks and Responsibilities
By using Junction's Services, you acknowledge and accept the inherent risks associated with DeFi, including but not limited to:
- Market Volatility: The value of digital assets can fluctuate significantly, and you may experience financial losses.
- Smart Contract Risks: Transactions on Junction are executed through smart contracts, which may contain vulnerabilities or be subject to exploits.
- Regulatory Uncertainty: The regulatory landscape for cryptocurrencies and DeFi is evolving, and changes in laws or regulations may impact your ability to use our Services.
- Network Risks: Junction relies on Blockchain networks, and disruptions, delays, or failures in these networks may affect your ability to trade or access your assets.
- Maximum Extractable Value (MEV): MEV refers to the potential profit that can be extracted by block producers (e.g., miners or validators) through reordering, including, or excluding transactions within a block. MEV can lead to front-running, sandwich attacks, or other forms of transaction manipulation, which may result in financial losses for Users. Junction has no control over MEV and is not responsible for any losses incurred due to MEV-related activities on the Blockchain.
- Slippage: Slippage occurs when the execution price of a trade differs from the expected price, often due to market volatility or low liquidity. Slippage can result in financial losses, especially for large trades or trades involving assets with low liquidity. Junction is not responsible for any losses caused by slippage during trading activities.
- Bridge Security: The security of the bridge depends on the underlying protocols and validators. If a bridge is compromised, your assets may be at risk.
- Transaction Delays: Bridging transactions may experience delays due to network congestion or other technical issues.
- Asset Pegging Risks: The value of bridged assets (e.g., wrapped tokens) may not always perfectly track the value of the original asset due to market conditions or liquidity issues.
You are solely responsible for assessing and understanding these risks before using Junction's Services. Junction shall not be liable for any losses, damages, or liabilities arising from your use of the Services or participation in DeFi activities.
3. Agreement and Modifications of this Agreement or our Products
3.1 Modifications of this Agreement or our Products
All information published on the Website and Application is non-binding and made available by us for your personal use and information purposes only. We may change, modify, complete, discontinue or remove the Website, Application or parts of them (including any features or services or information contained therein) at any time and without any notice to you and without liability whatsoever to you or any third party. Although the published information has been prepared by us with due care, we accept no liability or guarantee in any form for the correctness, accuracy, correctness, completeness, reliability, and timeliness of any data or information contained in the Website or Application, including those provided by third parties.
You should make your own evaluation of the accuracy or completeness of any information, opinion, advice or other content available through the Website and Application. Junction reserves the right to modify the Terms and Privacy Policy at any time by posting the modified Terms and/or Privacy Policy on the Website and/or Application. Your continued use of the Services after the publication of the modified Terms and/or Privacy Policy constitutes your acceptance of the modified Terms and/or Privacy Policy. You are responsible for periodically checking the Terms and/or Privacy Policy for modifications.

4. Intellectual Property Rights
4.1 All Rights Reserved
Unless expressly stated otherwise, all intellectual property rights related to the Services, and the content provided by Junction, including but not limited to source code, databases, website design, application design, text, images, videos, graphics, logos, and trademarks, are owned by Junction or its licensors.
All rights not specifically granted to you in these Terms are reserved by Junction. No license or right to use any intellectual property rights of Junction or any third party is granted, unless expressly stated in these Terms.
4.2 Prohibited Actions
You are strictly prohibited from copying, reproducing, distributing, publicly displaying, modifying, creating derivative works from, or otherwise exploiting the content of the Services protected by intellectual property rights, whether in whole or in part, without the express written permission from Junction.
4.3 Infringement
Junction is committed to upholding and safeguarding intellectual property rights. All rights not explicitly granted in these Terms are reserved by Junction. Unauthorised use of content of the Services protected by intellectual property rights may constitute a violation of copyright, trademark, and other Applicable Laws, which can result in legal consequences.
Junction expects all users to respect the intellectual property rights of others. If you believe that any content on the Website, Application or accessible through the Services infringes upon your intellectual property rights, please promptly notify us. We will thoroughly investigate the reported infringement and take appropriate actions as required by law to address the situation and protect intellectual property rights.
5. Warranties; Disclaimer
5.1 General Provisions
By using Junction, you acknowledge and accept, without possibility of withdrawing your acceptance, the following statements:
- You represent and warrant that you are of legal age (+18 years or older, depending on your jurisdiction) to enter into this agreement and have the authority to do so;
- You further warrant that your use of the Services does not violate any Applicable Laws or regulations, and you agree not to use the Services for any unlawful or prohibited activity, for any purpose that would be in violation of Applicable Laws or to make any unauthorized, speculative, false or fraudulent transactions or for any illegal purpose.
- You warrant that you are in compliance with any anti-money laundering obligations under the law of your jurisdiction or any other obligations applicable to you;
- You warrant that you have not been convicted of a criminal offence involving theft, dishonesty, breach of trust, money laundering, illegal manufacture, sale, distribution of controlled substances, or any substantially equivalent activity in any domestic, military, or foreign court;
- You warrant that you are not a "Person" described or designated in the Specifically Designated Nationals and Blocked Persons List of the Office of Foreign Assets Control or in Section I of the Anti-Terrorism Order, and you are not engaged in any dealings or transactions with any such Person, except when expressly permitted by the Terms;
- You acknowledge and warrant that you are using a Non-Custodial Wallet to connect to the Junction Services. Junction does not have access to your private keys, seed phrases, or personal Wallet data, and you retain full control and custody over your crypto-assets stored within your Wallet;
- You acknowledge and warrant that Blockchain platforms are new and that any risk associated with using any Blockchain platform, staking on the platform, or depositing to the stake contract rests entirely with you. Junction is not responsible or liable for any failures, interruptions, or issues related to a Blockchain;
- You warrant that you will not engage in any activity that could disrupt or interfere with the proper functioning of the Services, including but not limited to hacking, distributed denial of service (DDoS) attacks, or any other malicious activities; and you will not use the Services for any illegal, fraudulent, or unauthorised purpose, including but not limited to money laundering, terrorist financing, or any other criminal activities;
- You acknowledge that technology and crypto-assets are a recent field subject to regulatory developments. You are responsible for complying with future laws and regulations, without the assistance of Junction, which holds no responsibility in this regard;
- Junction may provide links to third-party websites or content for informational purposes. You warrant that you will use caution and discretion when accessing such third-party content and acknowledge that Junction does not endorse, warrant, or assume any responsibility for the accuracy or reliability of third-party content;
- You confirm that you have not based your decisions or actions on any information, statement, omission, representation, or warranty, whether explicit or implied, written or oral, provided by Junction or its representatives, except as explicitly stated in these Terms;
- You represent that you are knowledgeable, experienced and sophisticated in the use and evaluation of Blockchain and related technologies and assets. Junction does not provide investment advice. All investment decisions are made at your own risk, and Junction shall not be held responsible for any losses or damages resulting from your investment choices; and
- You, as the User, are solely responsible for safeguarding and maintaining the confidentiality of your Wallet's private keys, seed phrases, or any other authentication credentials. Junction shall not be liable for any unauthorised access to or loss of your Wallet or any related transactions. It is imperative that you take appropriate measures to secure your Wallet and exercise caution to prevent any potential security breaches or unauthorised access.
- Except as expressly stated in these Terms, all warranties, conditions and other terms, whether express or implied, by statute, common law or otherwise are hereby excluded to the fullest extent permitted by law. We assume no liability for losses and damages of any kind (in particular direct, indirect, or consequential damages) resulting from accessing or using the Services, or from links to third-party websites.
- We specifically disclaim compatibility between and among the Website, Application, the Services and any software or hardware. We do not warrant or represent that your access to and/or use of the Services will be uninterrupted (whether due to any temporary and/or partial breakdown, repair, upgrade or maintenance of our Website or Application or otherwise) or error-free or that any information, data, content, software or other material accessible through the Services will be free of bugs, viruses, worms, trojan horses or other harmful components. Moreover, we exclude all liability for any manipulations of your Information Technology system by unauthorized persons and emphasize the risk of viruses and of targeted hacker attacks.
- Junction is not licensed or regulated in any country. Junction makes no claims that the Services or any information or materials on the Website or Application are appropriate for any particular purpose or audience, or that they are legally available to Users in any jurisdiction. Access to the Services may not be legal by certain persons or in certain countries. Users are solely responsible for determining whether accessing or using the Services is permissible under the laws applicable in their jurisdiction.
5.2 Prohibition of U.S Person
In addition to the warranties set forth above, you hereby represent and warrant that you are not a "U.S. Person" as defined by the laws and regulations of the United States. A "U.S. Person" includes, but is not limited to, any natural person who is a citizen or resident of the United States, a partnership or corporation organised or incorporated under the laws of the United States, or any estate or trust that is subject to U.S. tax laws.
Junction strictly prohibits U.S. persons from using its Services. If you are a U.S. person or meet the definition of a U.S. person, you are not authorised to access or use the Services.
6. Limitation of Liability; Indemnity
6.1 All Rights Reserved
To the fullest extent permitted by Applicable Laws, you acknowledge and agree that Junction shall not be held liable for any loss of information, data, income, opportunity, profits, or any other form of loss, including but not limited to the cost of recovery, personal injury, or any special, incidental, consequential, or indirect damages arising from the use of the Services.
This limitation applies regardless of the theory of liability and shall include any damages arising from or in connection with the use of the Services, even if Junction has been advised of the possibility of such damages. These limitations shall apply even in the event of the failure of any essential purpose of any limited remedy provided herein.
In no event shall Junction be liable to you for any damages, losses, costs, or expenses arising out of or related to the use of the Service, regardless of the legal theory of liability.
The exclusions and limitations of damages stated herein are fundamental elements of the agreement between Junction and you. You acknowledge and understand that these provisions are a material part of our agreement and have been taken into account in setting the fees and charges applicable to the Services.
Under these Terms, you agree to indemnify, defend, and hold Junction, its officers, directors, employees, and agents (referred to as the "Indemnified Parties") harmless from and against any and all liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to (i) your use of the any of the Services, (ii) your violation of these Terms, or (iii) any third-party claims, actions, or proceedings brought against the Indemnified Parties as a result of your actions or omissions.
You shall promptly reimburse the Indemnified Parties for any costs or damages incurred in connection with such claims, actions, or proceedings. Junction reserves the right to participate in the defence of any such claim and to employ counsel of its choice, at your expense, to handle any matter subject to indemnification by you.
7. Governing Law, Dispute Resolution and Class Action Waivers
7.1 Governing Law
These Terms and Services shall be governed by and construed in accordance with the laws of Singapore.
7.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules"), which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator to be appointed in accordance with the SIAC Rules. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on the parties.
7.3 Class Action - No-Waiver
Users agree to waive any right to bring or participate in any class, consolidated or representative action regarding any dispute arising out of or relating to these Terms. The failure of Junction to enforce any right or exercise any remedy provided in these Terms shall not constitute a waiver of such right or remedy unless expressly stated otherwise.
Any waiver by Junction of any right or remedy under these Terms shall only be effective if it is in writing and signed by an authorised representative of Junction. Such waiver shall apply only to the specific provision and incident for which it is given and shall not create a precedent for future waivers.
All rights and remedies not expressly granted by these Terms are reserved to Junction. No provision of these Terms shall be interpreted as implicitly granting, by estoppel or otherwise, any additional rights or remedies to any party. In the event of a continuing or repeated breach of these Terms by a User, Junction reserves the right to exercise all rights and remedies provided herein, as well as any other rights or remedies available under the law, without prejudice to its ability to act with respect to subsequent similar violations or other breaches.
This "7.3 Class Action - No-Waiver" provision shall survive the termination or expiration of these Terms and shall continue to apply to all legal relationships between the Junction and Users.
8. Miscellaneous
8.1 Severability
If any provision (or part thereof) of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision (or part thereof) shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. The invalid, illegal, or unenforceable provision (or part thereof) shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the severed provision.
The invalidity, illegality, or unenforceability of any provision (or part thereof) in any jurisdiction shall not affect the validity, legality, or enforceability of that provision in any other jurisdiction.
8.2 Third-party beneficiaries
These Terms do not create any rights or benefits for third parties, unless explicitly provided otherwise within the scope of this agreement.
8.3 Force Majeure Event
Junction shall not be liable for any failure or delay in the performance of its obligations under these Terms or the provision of its Services if such failure or delay is due to a Force Majeure Event.
In the event of a Force Majeure Event, Junction shall be excused from performance for the duration of the event and shall not be liable for any loss, damage, or inconvenience suffered by Users or any third parties as a result of such event.
Junction will make reasonable efforts to mitigate the effects of the Force Majeure Event and resume normal operations as soon as reasonably practicable. The occurrence of a Force Majeure Event does not relieve Users of their obligations under these Terms, except to the extent such obligations are directly affected by the Force Majeure Event.
Users are encouraged to take appropriate measures to mitigate any potential impact of a Force Majeure Event on their use of the Services.
This Force Majeure Event clause shall be interpreted and enforced to the fullest extent permitted by Applicable Laws and shall survive the termination or expiration of these Terms.
8.4 Entire Agreement
These Terms constitute the entire agreement between you and Junction regarding your use of Services, and supersede all prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and Junction regarding your use of the Services.
