Any rewards, transactions, or activities carried out on the blockchain are subject to its rules, protocols, and consensus mechanisms. We are not responsible for any disruptions, delays, or failures in the operation of the blockchain network that may affect your use of our service.
- Cryptocurrencies and blockchain-based assets are highly volatile. The value and liquidity of these assets can fluctuate significantly and rapidly, leading to potential financial losses. You should be aware that the prices of cryptocurrencies can be unpredictable and may be subject to extreme price movements.

Definitions and Interpretation
1.1 Definitions
In the Junction Terms & Services, the words and expressions set out below have the following meanings unless otherwise indicated :
Affiliate
Refers to an entity, regardless of its form or nature, that is directly or indirectly controlled by Junction, controls Junction, or is under common control with Junction. Control may result from the ownership of more than 50% of the shares, voting rights, significant financial participation, or any other mechanism that enables substantial influence over the entity's activities and decisions.
Applicable Law
Means any and all applicable laws, statutes, regulations, ordinances, rules, codes, orders, and other legal requirements of any governmental authority having jurisdiction over Junction, its affiliates, or its users.
Blockchain
Means a distributed ledger technology ("DLT") comparable to a public accounting ledger, anonymous and unforgeable. The technology for storing and transmitting information is secure, transparent, and operates without a central control body, designed so that each block of transactions contains the hash produced from the previous block.
By extension, a blockchain refers to a secure, distributed database shared by its various users, containing a set of transactions whose validity can be verified by anyone.
Force Majeure Event
Means any event that is beyond the reasonable control of a Party and cannot be prevented with reasonable care of the affected Party, including but not limited to acts of God; earthquakes; fires; floods; wars; civil or military disturbances; acts of terrorism; sabotage; strikes; epidemics; riots; power failures; computer failure and any such circumstances beyond its reasonable control that may cause interruption, loss or malfunction of utility, transportation, computer (hardware or software) or telephone communication service; accidents; labor disputes; acts of civil or military authority; governmental actions; or inability to obtain labor, material, equipment or transportation.
Maximum Extractable Value (MEV)
Means any event that is beyond the reasonable control of a Party and cannot be prevented with reasonable care of the affected Party, including but not limited to acts of God; earthquakes; fires; floods; wars; civil or military disturbances; acts of terrorism; sabotage; strikes; epidemics; riots; power failures; computer failure and any such circumstances beyond its reasonable control that may cause interruption, loss or malfunction of utility, transportation, computer (hardware or software) or telephone communication service; accidents; labor disputes; acts of civil or military authority; governmental actions; or inability to obtain labor, material, equipment or transportation.
Routes
Means a computer that is connected to a blockchain network and participates in the process of validating transactions. Nodes are responsible for maintaining the distributed ledger, which is a public record of all transactions that have ever taken place on the network. Nodes play an essential role in the security of the network, as they help to prevent fraud and unauthorised data changes.
Party or "Parties"
Means any person or entity that accesses or uses the Junction Website or services.
Privacy Policy
Refers to the Junction's policy on the collection, use, and disclosure of personal information.
Services
Refers to our products described hereinafter.
Exchange fees
Means lorem ipsum dolor sit amet, consectetur adipiscing elit. Nunc vulputate libero et velit interdum, ac aliquet odio mattis. Class aptent taciti sociosqu ad litora torquent per conubia nostra, per inceptos himenaeos. Curabitur tempus urna at turpis condimentum lobortis. Ut commodo efficitur neque. Supported Blockchain
Refers to a blockchain network that Junction actively engages with by hosting and supporting one or more nodes for network consensus operations and/or transaction validation. Junction maintains a list of the Supported Blockchains on its Website, which may be subject to updates or additions over time. Certain Supported Blockchains may have specific terms & conditions outlined in a Network Addendum, which may apply to the Services obtained on those particular blockchains.
User
Refers to any individual or entity who accesses or utilises the Services provided by Junction through the Website.
Non-Custodial Wallet
Means a type of cryptocurrency wallet that gives users full control and ownership of their digital assets, without relying on a third-party service to store or manage the funds. Users are responsible for safeguarding their private keys and wallet access.
Virtual Assets
Refers to digital representations of value that are digitally tradable and are typically based on distributed ledger technology. These assets may include cryptocurrencies, digital tokens, or other forms of digital value that can be used for investment, transactional, or other purposes. Virtual assets are characterised by their intangible nature, reliance on cryptographic technology, and decentralised or peer-to-peer nature.
Wallet
Means a software or hardware device that allows a user to store, send, and receive digital assets. A wallet is necessary to interact with a blockchain network as it allows the user to store their private keys, which are necessary to sign transactions.
Website
Refers to the web interface owned and operated by Junction, accessible through its domain or subdomains, including all webpages, content, features, and services provided therein.
1.2 Interpretation
The definitions set forth in these Terms & Services apply throughout the document, unless expressly stated otherwise. Terms defined in the singular may include the plural, and vice versa. Similarly, terms of the masculine gender may include the feminine and neuter genders, and vice versa, as the context may require. Terms starting with capital letters have the meaning ascribed to them in these Terms and Conditions, whether used in the singular or plural, unless otherwise provided.
Any reference to a law, regulation, ordinance, or any other legislation includes amendments, modifications, and replacements to that legislation, as well as all applicable laws, rules, and regulations adopted under such legislation.
The terms "including," "including but not limited to," "includes," "inclusive of," or any similar wording indicate that the list provided is not exhaustive and that other items may be included.
Section titles in these Terms and Conditions are provided solely for convenience and shall not be taken into account in the interpretation of the provisions. In the event of a conflict or inconsistency between the definitions set forth in these Terms and Conditions and any other document referencing such terms, the definitions in these Terms and Conditions shall prevail, unless expressly stated otherwise.
Our Products
1.1 Definitions
Junction encompasses the full range of services available on the platform.
On one hand, and from within the platform, users can access the InfraLab service, allowing them to interact with our validators into our platform. InfraLab (as described in "2.1 Validator Hosting and Delegation") offers a comprehensive solution for hosting and delegating to our validators for supported blockchains. This solution enables users to actively participate in transaction validation and the preservation of blockchain network integrity by delegating to our validators.
On the other hand, AppLab is the service tailored for Junction platform users seeking to deposit their cryptocurrency assets and engage in delegation using their own non-custodial wallet (as described in "2.2 Connection for Staking and Delegation via Non-Custodial Wallet"). Users have the ability to connect their personal cryptocurrency wallets through the website. AppLab empowers users to maintain full control and autonomous management of their assets while enjoying the benefits of staking and delegation through our platform. With AppLab, users can manage their tokens, view their token balances, and delegate their funds to our validators, all while benefiting from wallet integration for an optimal user experience.

2.2 Connection for Staking and Delegation via Non-Custodial Wallet
Users have the capacity to connect to their personal cryptocurrency Wallets through the Website. Junction does not have access to the wallet or its contents. Users retain full control and custody over their crypto assets stored within their wallets. Junction does not collect, process, or store any private keys, seed phrases, or personal wallet data. Additionally, Junction does not have access to transaction history, wallet balances, or any other sensitive information related to the connected Wallets.
However, the Website interface enables Users to manage their tokens, including viewing their token balances and Delegate, Undelegate, Redelegate, buy their cryptocurrency assets to our validators. By using wallet integration, users can stake their cryptocurrency assets and participate in staking, including delegation, using our validators.
2.3 Fees & Rewards
At Junction, we may assess fees for the use of our Services. These fees are subject to change at our discretion, and we will provide prior notice to users regarding any modifications. Please note that all service fees are non-refundable, regardless of whether you choose to terminate this Agreement or if we terminate your access to the Services, as outlined in this agreement. When participating in staking activities, you may be eligible to receive rewards ("Staking Rewards") based on the specific rules and mechanisms of the Supported Blockchain.
It is important to understand that Junction does not control the issuance or calculation of Staking Rewards. The operation of the blockchain network and the amount of rewards are determined independently and may be subject to change without our control or input. We do not guarantee or make any representations regarding the level or consistency of Staking Rewards. Any references to past or projected rewards on our website are provided for informational purposes only and are not binding.
Please be aware that you are solely responsible for any tax obligations associated with the receipt of Staking Rewards. Junction and its agents do not provide tax advice or guidance on user tax obligations. The tax treatment of staking rewards may vary in different jurisdictions, and we recommend consulting with your own tax advisor for guidance specific to your circumstances.
By using our Services and participating in staking activities, you acknowledge and accept the inherent risks and uncertainties associated with fees and rewards. Junction shall not be held liable for any losses, damages, or liabilities arising from or related to the payment of fees or the receipt of rewards.
Agreement and Modifications of this Agreement or our Products
3.1 Acceptance of this Agreement
By accessing or using the Junction Website and services (collectively, the "Services"), you agree to be bound by these Terms of Services (the "Terms") and Junction Privacy Policy (the "Privacy Policy") incorporated herein by reference.
If you do not agree to all of the Terms and Privacy Policy, you are not authorised to access or use the Services and you must immediately cease using the Services.
3.2. Modification of this Agreement
Junction reserves the right to modify the Terms at any time by posting the modified Terms on the website. Your continued use of the Services after the publication of the modified Terms constitutes your acceptance of the modified Terms. You are responsible for periodically checking the Terms for modifications.

Intellectual Property Rights
4.1 All Rights Reserved
Unless expressly stated otherwise, all intellectual property rights related to the Website, the Services, and the content provided by Junction, including but not limited to source code, databases, website design, text, images, videos, graphics, logos, and trademarks, are owned by Junction or its licensors.
All rights not specifically granted to you in these Terms & Services are reserved by Junction. No license or right to use any intellectual property rights of Junction or any third party is granted, unless expressly stated in these Terms & Services.
4.2 Prohibited Actions
You are strictly prohibited from copying, reproducing, distributing, publicly displaying, modifying, creating derivative works from, or otherwise exploiting the content protected by intellectual property rights, whether in whole or in part, without the express written permission from Junction.
4.3 Infringement
Junction is committed to upholding and safeguarding intellectual property rights. All rights not explicitly granted in these Terms & Services are reserved by Junction. Unauthorised use of content protected by intellectual property rights may constitute a violation of copyright, trademark, and other applicable laws, which can result in legal consequences.
Junction expects all users to respect the intellectual property rights of others. If you believe that any content on the Junction Website or accessible through the Services infringes upon your intellectual property rights, please promptly notify us. We will thoroughly investigate the reported infringement and take appropriate actions as required by law to address the situation and protect intellectual property rights.
Warranties; Disclaimer
5.1 General Provisions
By using Junction, you acknowledge and accept, without possibility of withdrawing your acceptance, the following statements:
- You represent and warrant that you are of legal age (+18 or older, depending on your jurisdiction) to enter into this agreement and have the authority to do so;
- You further warrant that your use of the Services does not violate any applicable laws or regulations, and you agree not to use the Services for any purpose that would be in violation of Applicable Law
- You warrant that you are in compliance with any anti-money laundering obligations under the law of your jurisdiction or any other obligations applicable to you;
- You warrant that you have not been convicted of a criminal offence involving theft, dishonesty, breach of trust, money laundering, illegal manufacture, sale, distribution of controlled substances, or any substantially equivalent activity in any domestic, military, or foreign court;
- You warrant that you are not a "Person" described or designated in the Specifically Designated Nationals and Blocked Persons List of the Office of Foreign Assets Control or in Section I of the Anti-Terrorism Order, and you are not engaged in any dealings or transactions with any such Person, except when expressly permitted by the Terms & Services;
- You acknowledge and warrant that you are using a Non-Custodial wallet to connect to the platform. Junction does not have access to your private keys, seed phrases, or personal Wallet data, and you retain full control and custody over your crypto-assets stored within your Wallet;
- You acknowledge and warrant that blockchain platforms are new and that any risk associated with using any blockchain platform, staking on the platform, or depositing to the stake contract rests entirely with you. Junction is not responsible or liable for any failures, interruptions, or issues related to a blockchain;
- You warrant that you will not engage in any activity that could disrupt or interfere with the proper functioning of Junction's services, including but not limited to hacking, distributed denial of service (DDoS) attacks, or any other malicious activities; and you will not use Junction's services for any illegal, fraudulent, or unauthorised purpose, including but not limited to money laundering, terrorist financing, or any other criminal activities;
- You acknowledge that technology and crypto-assets are a recent field subject to regulatory developments. You are responsible for complying with future laws and regulations, without the assistance of Junction, which holds no responsibility in this regard;
- Junction may provide links to third-party websites or content for informational purposes. You warrant that you will use caution and discretion when accessing such third-party content and acknowledge that Junction does not endorse, warrant, or assume any responsibility for the accuracy or reliability of third-party content;
- You confirm that you have not based your decisions or actions on any information, statement, omission, representation, or warranty, whether explicit or implied, written or oral, provided by Junction or its representatives, except as explicitly stated in these Terms of Services;
- You represent that you are knowledgeable, experienced and sophisticated in the use and evaluation of blockchain and related technologies and assets. Junction does not provide investment advice. All investment decisions are made at your own risk, and Junction shall not be held responsible for any losses or damages resulting from your investment choices; and
- You, as the User, are solely responsible for safeguarding and maintaining the confidentiality of your Wallet's private keys, seed phrases, or any other authentication credentials. Junction shall not be liable for any unauthorised access to or loss of your Wallet or any related transactions. It is imperative that you take appropriate measures to secure your Wallet and exercise caution to prevent any potential security breaches or unauthorised access.
Please note that Junction provides its services "AS IF," without any warranties or guarantees, and users use the service at their own risk. As a result, we make no warranties, whether statutory, implied, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the availability, accuracy, reliability, or security of our services. Your use of our services is entirely at your own risk.
5.2 Prohibition of U.S Person
In addition to the warranties set forth above, you hereby represent and warrant that you are not a "U.S. Person" as defined by the laws and regulations of the United States. A "U.S. Person" includes, but is not limited to, any natural person who is a citizen or resident of the United States, a partnership or corporation organised or incorporated under the laws of the United States, or any estate or trust that is subject to U.S. tax laws.
Junction strictly prohibits U.S. persons from using its website and services. If you are a U.S. person or meet the definition of a U.S. person, you are not authorised to access or use Junction's website and services.
Limitation of Liability; Indemnity
4.1 All Rights Reserved
To the fullest extent permitted by applicable law, you acknowledge and agree that Junction shall not be held liable for any loss of information, data, income, opportunity, profits, or any other form of loss, including but not limited to the cost of recovery, personal injury, or any special, incidental, consequential, or indirect damages arising from the use of the Service.
This limitation applies regardless of the theory of liability and shall include any damages arising from or in connection with the use of the Service, even if Junction has been advised of the possibility of such damages. These limitations shall apply even in the event of the failure of any essential purpose of any limited remedy provided herein.
In no event shall Junction be liable to you for any damages, losses, costs, or expenses arising out of or related to the use of the Service, regardless of the legal theory of liability. The total liability of Junction to you, whether in contract, tort, or otherwise, shall not exceed the total amount of Protocol Fees paid by you in the relevant token or its equivalent. If there are no payment obligations to Junction, the maximum liability shall not exceed one (X) dollars ($X).
The exclusions and limitations of damages stated herein are fundamental elements of the agreement between Junction and you. You acknowledge and understand that these provisions are a material part of our agreement and have been taken into account in setting the fees and charges applicable to the Service.
Under these Terms & Services, you agree to indemnify, defend, and hold Junction, its officers, directors, employees, and agents (referred to as the "Indemnified Parties") harmless from and against any and all liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to (i) your use of the Services, (ii) your violation of these Terms & Services, or (iii) any third-party claims, actions, or proceedings brought against the Indemnified Parties as a result of your actions or omissions.
You shall promptly reimburse the Indemnified Parties for any costs or damages incurred in connection with such claims, actions, or proceedings. Junction reserves the right to participate in the defence of any such claim and to employ counsel of its choice, at your expense, to handle any matter subject to indemnification by you.
Governing Law, Dispute Resolution and Class Action Waivers
7.1 Governing Law
These Terms & Services shall be governed by and construed in accordance with the laws of France. Any legal action or proceeding arising out of or relating to these T&S shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
7.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these T&C or the use of our services shall be resolved through binding arbitration. The arbitration shall be conducted in accordance with the rules and procedures of a recognised arbitration organisation mutually agreed upon by the parties. The arbitration shall take place in a mutually convenient location. The decision of the arbitrator(s) shall be final and binding on both parties.
7.3 Class Action - No-Waiver
Users agree to waive any right to bring or participate in any class, consolidated or representative action regarding any dispute arising out of or relating to these Terms of Use. The failure of Junction to enforce any right or exercise any remedy provided in these Terms and Conditions shall not constitute a waiver of such right or remedy unless expressly stated otherwise.
Any waiver by Junction of any right or remedy under these Terms & Services shall only be effective if it is in writing and signed by an authorised representative of Junction. Such waiver shall apply only to the specific provision and incident for which it is given and shall not create a precedent for future waivers.
All rights and remedies not expressly granted by these Terms and Conditions are reserved to Junction. No provision of these Terms & Services shall be interpreted as implicitly granting, by estoppel or otherwise, any additional rights or remedies to any party. In the event of a continuing or repeated breach of these Terms & Services by a User, Junction reserves the right to exercise all rights and remedies provided herein, as well as any other rights or remedies available under the law, without prejudice to its ability to act with respect to subsequent similar violations or other breaches.
This "7.3 Class Action - No-Waiver" provision shall survive the termination or expiration of these Terms & Services and shall continue to apply to all legal relationships between the Parties.
Miscellaneous
8.1 Severability
If any provision of these Terms & Services is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms & Services, and the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the severed provision.
The invalidity, illegality, or unenforceability of any provision in any jurisdiction shall not affect the validity, legality, or enforceability of that provision in any other jurisdiction.
8.2 Third-party beneficiaries
These Terms & Services do not create any rights or benefits for third parties, unless explicitly provided otherwise within the scope of this agreement.
8.3 Force Majeure Event
Junction shall not be liable for any failure or delay in the performance of its obligations under these Terms & Services or the provision of its services if such failure or delay is due to a Force Majeure Event. A "Force Majeure Event" refers to any event or circumstance beyond the reasonable control of Junction, including but not limited to acts of God, natural disasters, war, terrorism, strikes, lockouts, labor disputes, government actions or regulations, power failures, internet outages, or any other event that disrupts or hinders Junction' ability to perform its obligations.
In the event of a Force Majeure Event, Junction shall be excused from performance for the duration of the event and shall not be liable for any loss, damage, or inconvenience suffered by users or any third parties as a result of such event. Junction will make reasonable efforts to mitigate the effects of the Force Majeure Event and resume normal operations as soon as reasonably practicable. The occurrence of a Force Majeure Event does not relieve users of their obligations under these Terms & Services, except to the extent such obligations are directly affected by the Force Majeure Event.
Users are encouraged to take appropriate measures to mitigate any potential impact of a Force Majeure Event on their use of Junction' services.
This Force Majeure clause shall be interpreted and enforced to the fullest extent permitted by applicable law and shall survive the termination or expiration of these Terms & Services.
8.4 Entire Agreement
These Terms constitute the entire agreement between you and Junction regarding your use of the Website and Services, and supersede all prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and Junction regarding your use of the Website and Services.
